Executive summary

Cross-border partnerships often begin with a memorandum of understanding (MOU). MOUs are useful for signalling intent, but many never become operating businesses. This playbook sets out how companies can move from signed intent to a working operation, using government-level India–Japan frameworks as context.

The opportunity and supporting evidence

Government frameworks show the same gap between ambition and execution. According to the India–Japan Joint Vision for the Next Decade (August 2025), published by the Prime Minister of India's office, the two countries built on a 2022–2026 target of JPY 5 trillion of public and private investment and financing from Japan to India, and set a new target of JPY 10 trillion of private investment. The vision also refers to strengthening industrial cooperation for Make in India through the India–Japan Industrial Competitiveness Partnership (IJICP).

According to Japan's Ministry of Economy, Trade and Industry (METI), the IJICP is a vice-ministerial framework agreed in December 2019, with working groups by industry, including on Japanese industrial townships and SMEs. METI reported that the sixth meeting took place in Delhi in June 2024 – the first in four years – with participation from many ministries and agencies including JETRO, NEDO, JBIC and JICA.

Nirji's interpretation. Targets and frameworks create attention and access, but companies still have to do the commercial work. The four-year gap between IJICP meetings shows that even government processes need sustained follow-through.

Countries, sectors and participants

•Companies signing MOUs: at trade missions, summits and investment forums.
•Government agencies: that facilitate, but do not execute, deals.
•Advisers, lawyers and financiers: needed to convert intent into contracts.

Potential collaboration models

An MOU can lead to:

1.Supply or distribution agreements – the quickest route to revenue.
2.Technical collaboration or licensing.
3.[Joint ventures](/insights/joint-venture-distributor-acquisition-greenfield-market-entry) – with defined equity, governance and exit terms.
4.Investment or acquisition.

Operating considerations and constraints

The execution playbook:

1.Name owners – on both sides within 30 days of signing.
2.Define the business case – customers, revenue, costs and returns.
3.Agree a milestone plan – with dates and decision points.
4.Map approvals – foreign investment, sector licences, land, environment.
5.Secure funding – before committing to fixed costs.
6.Draft definitive agreements – covering governance, IP, deadlock and exit.
7.Pilot first – where possible.
8.Review quarterly – and be willing to stop.

Common risks include cultural differences in decision-making, currency exposure, and changes in the partner's leadership or strategy.

Practical next steps

1.Review your existing MOUs and identify which have named owners and milestones.
2.Close or reset those with no activity.
3.For active ones, build a 90-day plan toward a first binding agreement.
4.Track relevant government frameworks for support, not as a substitute for commercial work.

What remains uncertain

Government targets are aspirations. Progress toward the JPY 10 trillion target, and how it is measured, will become clearer through future official updates.

よくある質問

Is an MOU legally binding?

Usually not, apart from specific clauses such as confidentiality. It records intent. Binding commitments come later in definitive agreements.

What is the India–Japan investment target?

According to the India–Japan Joint Vision published in August 2025, the countries set a new target of JPY 10 trillion of private investment from Japan to India, building on an earlier JPY 5 trillion target for 2022–2026.

Why do many cross-border MOUs stall?

Common reasons include no named owners, unclear economics, no funding plan, and approvals that were not mapped at the start.
