Executive summary

How a company enters a market often matters as much as which market it chooses. The main options – distributor or agent, licensing, joint venture, acquisition and greenfield investment – trade off control, speed, capital and risk differently. This playbook sets out when each model fits and how companies can move from one to another as confidence grows.

The opportunity and supporting evidence

International bodies classify investment entry in similar ways. The OECD's Benchmark Definition of Foreign Direct Investment (fifth edition, 2025) defines four types of FDI transaction: greenfield investment in a new enterprise, extensions of capacity of an existing enterprise, mergers and acquisitions, and corporate or financial restructuring.

UN ESCAP's outward FDI toolkit lists five relevant entry modes: greenfield investment, mergers and acquisitions, R&D centres, resource extraction, and sales and representative offices. It notes that ownership in these investments can range from 10% to 100%, and that M&A is particularly promising for acquiring proprietary knowledge and assets.

The context is challenging. UNCTAD's World Investment Report 2025 reported that global FDI fell 11% in 2024 to $1.5 trillion.

Nirji's interpretation. In a tighter investment environment, staged entry – lower-capital models first, larger commitments once proven – reduces risk.

Countries, sectors and participants

•Exporters: testing demand in Japan, India, Singapore and Southeast Asia.
•Technology and IP owners: considering licensing.
•Manufacturers: deciding between partner, acquisition or own plant.
•Local companies: seeking foreign partners with technology or capital.

Operating considerations and constraints

•Distributors: can lock up a market through exclusivity; agree performance clauses and exit terms.
•Licensing: needs strong IP protection and quality controls.
•Joint ventures: often fail on governance – agree decision rights, deadlock resolution and exit routes at the start.
•Acquisitions: require careful due diligence on liabilities, culture and integration.
•Greenfield: carries land, approval and ramp-up risk.
•Foreign-ownership rules may restrict which models are available in some sectors.

Practical next steps

1.Define what you need most: speed, control, local access or low capital.
2.Check ownership and licensing rules for your sector in the target country.
3.Start with the lowest-commitment model that answers your key question.
4.Build conversion options – for example, a right to buy a distributor or JV partner's stake.
5.Get local legal and tax advice before signing.

What remains uncertain

Investment rules and incentives change, and the right model depends on company-specific factors. Treat this framework as a starting point for analysis rather than a recommendation.

자주 묻는 질문

What are the main types of foreign direct investment?

The OECD identifies greenfield investment, extensions of capacity, mergers and acquisitions, and corporate and financial restructuring.

When does an acquisition make sense?

UN ESCAP notes that mergers and acquisitions are particularly useful for gaining proprietary knowledge and assets of the acquired firm. They suit companies needing speed, licences or an existing customer base.

Should we start with a distributor?

Often, yes – a distributor tests demand with limited capital. The trade-off is less control over pricing, brand and customer relationships.
