Executive summary

The right Indian partner can shorten market entry; the wrong one can cost years. This checklist is for Japanese, Korean and Taiwanese companies and startups choosing a distributor, manufacturing partner or joint-venture partner in India. It covers free official checks, what to verify beyond them, and the contract points that most often cause disputes.

Step 1: Define what you need the partner to do

Write a one-page brief: products, territories, customer types, volumes, service obligations and the decision rights you want to keep. The brief decides whether you need a distributor, a contract manufacturer, a systems integrator or a joint-venture partner. Our guide to entry models compares the options.

Step 2: Free official checks

•Company registry:: the Ministry of Corporate Affairs' Master Data Services shows a company or LLP's name, CIN or LLPIN, state and status (for example, active or struck off).
•GST registration:: the GST portal's Search Taxpayer function shows a GSTIN's legal name, trade name, registration date, constitution of business, principal place of business and return-filing details.
•Directors:: the MCA lists directors by DIN; check whether the people you meet are actually directors.

These checks confirm existence and registration only.

Step 3: Checks beyond the registry

•Audited financial statements for at least three years.
•Customer references you contact yourself.
•Site visits to offices, warehouses or factories.
•Certifications relevant to your sector, verified with the issuer.
•Litigation and background checks by a qualified professional firm.
•Conflicts: does the partner represent competitors?

Step 4: Contract points that matter

1.Scope and territory – , including online sales.
2.Exclusivity – , tied to performance targets and time limits.
3.Intellectual property and trademarks – , including who registers the brand in India.
4.Termination and exit – , including inventory buy-back and customer handover.
5.Dispute resolution – , including seat and governing law.
6.For joint ventures: – board composition, reserved matters, deadlock and exit. India's FDI policy and the Companies Act, 2013 set the framework; a private company needs at least two directors, one resident in India for 182 days in the financial year.

Step 5: Start small

A time-limited pilot or a non-exclusive first year lets both sides prove performance before deeper commitments.

What this checklist does not do

It is not legal advice and does not replace professional due diligence. Registry data can be out of date; confirm critical facts directly.

How Nirji Ventures engages

The Nirji Community is a private network for companies and startups exploring Asia Pacific expansion; expressing interest is free and does not promise funding, introductions or programme admission. NirjiX, the group's consulting firm, takes on paid market-entry, partner-diligence and project-execution engagements. The two paths are separate: Community participation is not a consulting engagement, and consulting enquiries do not require Community membership.

よくある質問

How can I check whether an Indian company is real?

India's Ministry of Corporate Affairs publishes free company and LLP master data, including name, CIN, state and status. The GST portal lets anyone search a GSTIN to see legal name, registration date, place of business and return-filing details.

Do official registry checks prove a partner is reliable?

No. They confirm that a company exists and is registered. Capability, financial health, reputation and integrity need separate checks such as audited financials, site visits, customer references and professional background reports.

Should a first Indian partner be exclusive?

Exclusivity is a commercial decision. Many companies prefer limited-term or territory-specific exclusivity tied to performance targets, with clear exit terms.
