Who this setup guide is for

This checklist is for startups and established companies from Japan, Korea, Taiwan and other markets evaluating an India Global Capability Center (GCC), an R&D team or a limited technical pilot. It is intended for business, technology and finance decision-makers, not only large multinational enterprises.

Nirji Ventures analysis: the steps below are planning considerations. They are not a fixed implementation schedule, legal or tax advice, a standard salary benchmark or a guaranteed return. Confirm the rules applicable to your actual activity before spending or hiring.

If you have not yet chosen between an owned operation and a partner engagement, begin with the India GCC overview.

Step 1: Write a charter with a stop/go decision

Define the business problem, technical scope, reporting line, budget owner and measurable deliverables. Distinguish India customer acquisition from R&D for global products, and distinguish engineering design from manufacturing.

Agree who approves work, owns product decisions, supervises staff and accepts the first deliverable. Use headcount scenarios rather than a single aggressive ramp. A startup pilot should have a spending limit, an end date and a decision on whether to expand, change partner or stop.

For Japanese teams, clarify the language of technical documentation, headquarters' review process and decision authority. Apply the same explicit governance approach to Korean and Taiwanese headquarters; do not assume one national operating style.

Step 2: Check the activity and entry route before the entity

The term GCC is not an incorporation category or an automatic foreign-investment permission. Check the sector, proposed activities, investor circumstances and applicable foreign-investment rules using DPIIT policy resources and RBI Master Directions.

Structure to assessQuestions for qualified advisers
Indian companyWhat ownership, governance, reporting, employment and tax obligations apply to the proposed activity?
LLPIs foreign investment permitted for this activity under the applicable automatic-route and performance-condition rules?
Branch officeAre the intended activities permitted, and what approval or authorised-dealer process and eligibility requirements apply?
Regulated IFSC operationIs the precise activity eligible and authorised, and what separate regulatory and tax conditions must be met?

These are alternatives to evaluate, not a list of equally eligible choices. An IFSC registration is not simply another company form, and a tax benefit is not automatic. Do not assume a branch is the simplest route or an LLP is eligible merely because the pilot is small.

Step 3: Compare cities and premises using current quotes

Build one scorecard for your shortlisted cities: relevant skills, senior leadership availability, customer/supplier proximity, travel, total employment costs, suitable space, security and business continuity. Ask recruiters to validate the exact roles, not a generic city ranking.

Assess managed offices and direct leases against actual team size, equipment, confidentiality and expansion options. A laboratory, regulated workflow or manufacturing activity may have additional site requirements. No universal percentage saving, first-500-employee threshold or standard lease period is used in this guide.

Where the India operation transacts with its overseas parent or group, identify the functions performed, assets used and risks assumed. Determine the appropriate arm's-length method and documentation with a qualified transfer-pricing adviser. Consult the Income Tax Department for official tax resources.

A cost-plus arrangement may be relevant to some service operations, but a 12–18% margin is not a universal rule. Profit split is not automatically appropriate whenever R&D creates IP. An Advance Pricing Agreement is a mechanism to assess, not a compulsory requirement for every model.

Review corporate tax, withholding, GST, payroll and applicable treaty questions for the real transactions. Do not use a single headline rate or an assumed IFSC holiday as the project's tax model.

Step 5: Agree IP, data and security terms before work begins

Set out pre-existing IP, new inventions, source-code ownership, licensing rights and permitted reuse in the parent/India and employee/contractor agreements. A master services agreement or cost contribution arrangement is not an automatic transfer of all IP.

Check the relevant assignment formalities and patent-filing requirements using IP India's official resources. Establish invention disclosures, access controls, open-source review and records of technical decisions. Manufacturing and hardware projects may also need clear tooling, design-file and supplier rights.

Map personal and confidential data, access from India, subprocessors and retention. Check applicable Indian and home-market rules, including the current commencement and implementation requirements of India's data-protection framework, rather than assuming every provision applies identically to every project. MeitY is the official starting point for India's digital policy materials.

Step 6: Hire for the charter, not a generic salary table

Assign accountable leadership and coverage for technical delivery, people operations, finance/compliance and security. A small pilot may use a different mix of internal and specialist support from a large owned center.

Obtain role-specific compensation and search-time evidence. Include benefits, recruitment fees, retention, management capacity and training in the budget. Review local employment requirements and visas for cross-border assignments. The Ministry of Labour and Employment provides official policy resources; obtain advice on the rules applicable to your location and workforce.

Step 7: Use readiness gates instead of a promised timeline

GateEvidence before progressing
Business caseApproved scope, accountable sponsor, budget and stop/go criteria
Legal and financial readinessEligible structure, required approvals, banking/reporting plan and tax responsibilities
Delivery readinessLeadership coverage, agreements, premises/equipment, security and data controls
Pilot acceptanceMeasured deliverables, quality review, customer or headquarters acceptance and issues log
Expansion decisionUpdated economics, hiring evidence, compliance review and an approved next-stage budget

Some tasks can run in parallel; others depend on approvals, banking, hiring or facilities. There is no reliable universal six-to-nine-month setup commitment. Plan contingencies for your own critical path and do not confuse incorporation with operational readiness.

Common mistakes to avoid

•Treating market entry, R&D and manufacturing as the same approval problem.
•Choosing a city or legal structure before defining the work.
•Assuming tax incentives, IP ownership or global customer access are automatic.
•Hiring faster than headquarters can supervise or accept deliverables.
•Reusing salary, margin or timeline ranges without project-specific evidence.
•Expanding a pilot without an explicit budget and acceptance decision.

For Japanese companies, the Japan-to-India entry guide adds partner-selection and entry-model questions.
